As per the Companies Act, 2013, KMPs (Key Managerial Personnel) are the MD/ CEO, CFO, Whole-time Director and Company Secretary. As per SEBI LODR Regulations, 2015, Compliance Officer too is a KMP. In a boardroom, Directors and KMPs co-exist, and both have to derive value from one another. Having a training programme with both the categories ensures that they both know the expectations that the other has from them.
Some of the topics covered are role and responsibility, fiduciary duties, regulatory updates, deriving value from Board and its committees, Board-management interface, Board processes and legal liabilities.
As per SEBI LODR Regulations, 2015, the Independent Directors of every Board have to undergo familiarisation programmes. Most Boards however do not restrict these programmes to only Independent Directors since the Board has to perform as a collective.
Annually, at minimum, since it addresses changes in law and regulations.
