Board processes include how agenda for a Board or committee meeting gets set, how information reaches Directors before a meeting, how much time is spent on strategic issues versus routine ones, and how decisions get documented. They matter since they reflect the quality of boardroom deliberations, and the degree to which Directors are engaged.

Directors getting a huge Board pack just days before the meeting — too much information, and too little time to read and reflect, and to participate productively in meetings.

There are several ways to improve boardroom discussions. Having a proper agenda, along with proper agenda notes; focusing on business items, and not routine items in Board meetings; focusing on discussions, and not going through presentations in routine fashion.
