The need of corporate governance becomes imperative as it refers to a code of conduct for the Board of Directors that they must abide to while performing the organisational duties. There is a need of corporate governance in today’s business world where takeovers and mergers are taking place rapidly. It works on protecting the interest of all the parties during takeovers and mergers.

The need of corporate governance is also felt when the ownership structure changes in an organisation. With institutional investors and mutual funds taking over as the largest shareholders in a corporate entity, there is a need of corporate governance to strike the balance during the changing times.
