The long-awaited Companies Act, 2013 has brought significant changes to company law in India. Informal discussions with a number of Independent Directors seem to indicate that the provisions relating to Independent Directors in the Companies Act, 2013 have caused considerable apprehension and anxiety in their minds. There is also a lack of clarity regarding the manner in which they are expected to discharge some of their responsibilities in the new context. These complex issues are sought to be addressed by this interface by way of closed door, free-flowing discussions among experienced Independent Directors with no media or audience present.
